GEORGIA TECH CHAPTER
NATIONAL SOCIETY OF BLACK ENGINEERS
CONSTITUTION


PREAMBLE


The National Society of Black Engineers Georgia Tech chapter as a student run organization, does hereby dedicate itself to the development of intensive programs for increasing Black and other ethnic minority participation in engineering and engineering related fields. These programs will be initiated both inside and outside the university community and will serve to strengthen relations between professional industry and the Black community. Members of this organization are encouraged to join and participate in their individual professional societies. This organization will endeavor to provide general counseling to all.

ARTICLE I - NAME

Section 1.
The name of this non-profit membership organization shall be the National Society of Black Engineers Georgia Tech chapter, a student run organization hereafter referred to as GTSBE.

ARTICLE II - OBJECTIVES

Section 1.
The objectives of GTSBE shall be to stimulate and develop student interest in engineering; to strive to increase the number of students studying engineering at both the undergraduate and graduate levels; and to endeavor in the advancement of the ethnic minority engineers in professional industry.

ARTICLE III - MEMBERSHIP

Section 1.
Membership and participation shall be free from discrimination on the basis of sex, race, religion, ethnic group, or national origin.

Section 2.
A member shall be defined as a person enrolled at Georgia Institute of Technology who has paid membership fees.

Section 3.
There shall be no maximum number of members of GTSBE.

Section 4.
Attendance to chapter meetings is not mandatory to maintain membership.

ARTICLE IV - VOTING

Section 1.
All current dues paying members are entitled to one (1) vote at all general meetings of the chapter.

ARTICLE V - DUES

Section 1.
Changes in the amount of annual dues of GTSBE shall be determined by the Chapter Executive Board (CEB) upon ratification by two-thirds vote of the membership.

ARTICLE VI - ADMINISTRATION

Section 1.
There shall be three CEB members of GTSBE of which shall be elected officers, these are the President, Executive Vice-President, and Vice-President.

Section 2.
The CEB shall:
(a) Determine all questions of policy and shall administer the affairs of the chapter under the constitution and by-laws, and the general provisions of the law under which it is incorporated.
(b) Be subject to the orders of membership and none of its acts shall conflict with decisions made by the vote of the general body, or the goals and objectives of the organization.

ARTICLE VII - COMMITTEES

Section 1.
There shall be standing committees of GTSBE.

Section 2.
The chairpersons of the standing committees will be elected annually by the members. The committee chairpersons will report directly to the Vice-President.

Section 3.
The President will appoint committee chairpersons for special committees, and replace committee chairpersons should the positions become vacant or the chairpersons fail to fulfill their responsibilities subject to the approval of the CEB.

ARTICLE VIII - OFFICERS

Section 1.
The elected positions of GTSBE are
President, Executive Vice-President, Vice-President of Chapter Development, Secretary, Treasurer, and standing committee chairpersons.

Section 2.
Any member of the chapter in good standing at the university is eligible for an elected or appointed office.

Section 3.
Should a vacancy occur in the office of the President. the unexpired term shall be filled by the Executive Vice-President. Should a vacancy occur in any other office the vacancy shall be filled by appointment by the President and approved by the CEB.

Section 4.
Should a vacancy occur in any remaining elected position(s), the unexpired term shall be filled through the following process:
(a) Submittance of notification of candidacy to the CEB.
(b) Interview of candidates by the CEB.
(c) Selection of replacement by simple majority vote of the CEB with the President having voting power only in case of a tie.

ARTICLE IX - DUTIES OF OFFICERS

Section 1.
Duties of the elected officers are:
(a) President
(1) Shall preside over all of official meetings of GTSBE except general meetings which are presided over by the Membership Chair.
(2) Shall serve as the official representative of GTSBE unless otherwise designated to another officer by the President.
(b) Executive Vice-President
(1) Shall preside in the absence or the inability of the President.
(2) Shall develop programs of interest for GTSBE in cooperation with the Executive Board.
(3) Shall perform activities, duties, and responsibilities as designated by the President.
(4) Shall oversee the activities of the standing committees.
(c) Vice-President of Chapter Development
(1) Shall perform duties designated by the President
(2) Shall monitor the progress of committee development in regards to the Chapter Development Report.
(3) Shall provide a Chapter Development Report every December.
(d) Secretary (1) Shall serve all notices required by law of GTSBE and in case of absence, during any meeting, the duties of the secretary may be performed by any person who the CEB may direct.
(2) Shall record accurately the minutes of the CEB meetings and general membership meetings and make available the minutes to all members upon request.
(3) Shall report the minutes of the previous meeting at the present meeting of the CEB or general membership meeting.
(4) Shall require from the Executive Board, standing committees, and special committees of GTSBE, a monthly record of the activities of said body.
(e) Treasurer (1) Shall keep accounts and deposit all organizational funds of the GTSBE treasury.
(2) Shall make expenditures for business in a manner approved by the CEB.
(3) Shall prepare, maintain, and adhere to the chapter budget determined by the executive officers and approved by the CEB.

ARTICLE X - AMENDMENTS

Section 1.
Amendments to this constitution may be proposed by:
(a) A two-thirds vote of the CEB, or
(b) One-half of the membership of GTSBE.

Section 2.
The amendment must be submitted in a written proposal to the Executive Board to be reviewed. The proposal must be clearly stated and justified in the written forms.

Section 3
Ratification of any amendment to this constitution shall be subject to a three-fourths vote of the registered members.
